Terms and Conditions 3rd Harmonic Live Productions, LLC
The following Terms and Conditions govern the provision of services by 3rd Harmonic Live Productions, LLC (“3rd Harmonic”). These terms apply to all services rendered and are considered accepted upon approval of an estimate or submission of payment. Please review them carefully, as they outline important responsibilities and liabilities.

1. Parties

Client: The individual or entity identified in the “Address” section of the invoice, or the primary contact requesting services on behalf of that entity, shall be referred to as the “Client.” If corrections to this information are needed, please contact us prior to your event.
3rd Harmonic: Refers to 3rd Harmonic Live Productions, LLC. Contact details and business address are listed on the Client's invoice or estimate.
2. Scope of Services
Service details, including date, time, and location, are outlined in the Client’s invoice or subsequent written communication. Equipment listed on the invoice is representative of the anticipated scope of work; actual equipment used may vary based on technical or logistical considerations.
3. Payment Terms
Unless expressly agreed otherwise in writing, full payment is due on the event date. Submission of payment or accepting an estimate confirms the Client’s agreement to the terms outlined herein.
4. Cancellation Policy
Unless otherwise specified in writing:

Cancellations made after an invoice has been issued will incur a charge of 25% of the total invoice amount.

Cancellations made within 120 hours (5 days) of the event start time will incur a charge of 50% of the total invoice amount.

Cancellations made within 48 hours of the event start time will incur a charge of 100% of the total invoice amount.
Enforcement of cancellation charges is at the sole discretion of 3rd Harmonic.

5. Overtime Charges

If the scheduled event times are not listed on the invoice or estimate, the Client must email and provide the following details:

Client On-site arrival time

Soundcheck

Doors open
-
Show start and end times

Any additional key timing details
Overtime will be charged at 15% of the total invoice per hour, with a minimum charge of $150. Additional time is billed in 30-minute increments. 3rd Harmonic reserves the right to decline overtime services for logistical or operational reasons.
Enforcement of overtime charges is at the sole discretion of 3rd Harmonic.
6. Client Responsibilities for Permits and Access
The Client is responsible for obtaining all necessary permits, licenses, and permissions required for the event, including but not limited to venue access, noise ordinances, public assembly permits, and use of public or private spaces. The Client must also ensure that the venue is accessible to 3rd Harmonic personnel and equipment during agreed-upon load-in, setup, and teardown times. Delays or cancellations resulting from failure to secure access or permits will not be the responsibility of 3rd Harmonic.
7. Security Requirements
Equipment Security: If equipment must remain onsite unattended (e.g., overnight), the Client must provide security personnel or arrangements at no cost to 3rd Harmonic. Any loss, damage, or theft of equipment will be the responsibility of the Client, with full reimbursement required within 30 days of the incident.
Crowd Control: Adequate security and crowd control measures must be in place. 3rd Harmonic reserves the right to suspend or cancel services without refund if equipment, personnel, performers, or attendees are placed at risk due to inadequate crowd management.
8. Inclement Weather
For outdoor events, the Client is responsible for having contingency plans in place to ensure safety. 3rd Harmonic may delay, postpone, or suspend services in response to unsafe weather conditions. While we do not make general safety determinations, our mobile stage and equipment operations are governed by specific safety protocols. We appreciate Client cooperation and support in these decisions.
9. Irrigation and Sprinklers
For outdoor events on or near grassy areas, irrigation systems must be turned off at least 36 hours before and 12 hours after the event. If sprinklers activate while 3rd Harmonic equipment is on-site, a minimum charge of $350 will apply. The Client will be liable for all associated repair or replacement costs, payable within 30 days.
10. Nonpayment and Late Fees
If payment is not received as stated in the invoice or is non-collectible, the invoice is considered past due. The Client must remit full payment within 7 calendar days of the due date unless otherwise agreed. Past-due invoices may incur:

Late fees of up to 5% per week, not to exceed 100% of the original invoice amount
11. Indemnification and Hold Harmless
To the maximum extent permitted by law, the Client shall indemnify, defend, and hold harmless 3rd Harmonic, its officers, employees, and contractors from all liabilities, losses, claims, damages, and expenses (including legal fees) arising from the services provided under this agreement.
12. Force Majeure
3rd Harmonic shall not be held liable for any failure to perform, or delay in performing, any of its obligations under this agreement if such failure or delay results from events, circumstances, or causes beyond its reasonable control. These may include, but are not limited to, acts of God, natural disasters, government actions, pandemics, labor disputes, power outages, equipment failure not caused by negligence, and unforeseen transportation delays. In such circumstances, 3rd Harmonic shall be entitled to a reasonable extension of time for the performance of its obligations.
13. Limitation of Liability
To the maximum extent permitted by law, the total liability of 3rd Harmonic for any claim arising out of or relating to this agreement or the services provided shall not exceed the total amount paid by the Client for those services. In no event shall 3rd Harmonic be liable for any indirect, incidental, special, or consequential damages.
14. Governing Law and Dispute Resolution
Any legal disputes arising from or relating to this agreement shall be exclusively resolved in the courts of Broomfield County, Colorado.
